These Terms of Service (“Terms”) govern your access to and use of Gratis Solutions’ products, services, software, and website (collectively, the “Services”). By accessing or using any part of our Services, you agree to be bound by these Terms.
1. Use of Services
You agree to use our Services only for lawful purposes and in accordance with any applicable contractual agreement between your business and Gratis Solutions. You represent and warrant that you have the authority to enter into this agreement on behalf of the dealership or organization you represent.
2. No Guarantees or Warranties
All Services provided by Gratis Solutions are offered "as is" and "as available."
We do not guarantee any specific results, performance improvements, increased revenue, customer satisfaction, or system uptime. Gratis Solutions expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Any metrics, case studies, or performance examples referenced are for illustrative purposes only and do not constitute a promise or guarantee of future results.
3. Service Terms and Cancellation
Access to Gratis Solutions' Services is governed by the terms of the specific agreement signed between your dealership and Gratis Solutions.
Cancellation, termination, and renewal policies — including any required notice periods or early termination fees — are defined exclusively by that agreement. These Terms do not override or modify the terms of any executed contract.
If no separate written agreement exists, all services will be considered month-to-month and cancellable with 30 days’ written notice.
4. Fees and Payment
Fees for Services are defined in your dealership’s agreement or proposal and are due as outlined in the invoicing terms. Failure to pay fees when due may result in suspension or termination of Services.
5. Data and Integrations
Gratis Solutions may access and process dealership data (including, but not limited to, CRM, DMS, or scheduling systems) as part of delivering Services. You are responsible for obtaining any necessary permissions to allow such access.
We are not liable for data inaccuracies, system outages, or third-party integration failures beyond our direct control.
6. Intellectual Property
All materials, software, content, and technology provided by Gratis Solutions are protected by intellectual property laws. You may not copy, modify, reverse engineer, or redistribute any portion of the Services without our express written permission.
7. Limitation of Liability
To the fullest extent permitted by law, Gratis Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities arising from your use of the Services.
Our total liability under these Terms or in connection with the Services shall be limited to the amount paid to us for the Services during the six (6) months preceding the claim.
8. Modifications to These Terms
We reserve the right to modify these Terms at any time. Updated terms will be posted at gratistech.com/terms and will become effective upon posting. Continued use of the Services after changes are posted constitutes your acceptance.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State of Incorporation, e.g., Florida], without regard to conflict of law principles.
